We hereby and state with full of cooperate responsibility do confirm that we are ready, willing and able to sell the product from the miner we represented that is Steam Coal which mentioned in below under the following term and conditions :
1. Commodity : Coal
2. Origin : South Kalimantan and East Kalimantan - Indonesia
3. Offering below this have quantity and supply about 60.000 MT/ month :
4. The Base Price is based on FOB (Free On Board) Mother Vessel for any tonnage up to the full tonnage pursuant to Item 3 of this Proposal based on Buyer’s performing Vessel’s size. The Base Price for Steam Coal offered for FOBT (Free On Board Trimmed) Mother Vessel) – excludes success fee for intermediaries, if any – is described as below:
4.1. GCV 5, 000 kCal/ kg : Basis 5, 000 kcal/ kg Gross Calorific Value on Air Dried Basis and Total Moisture (ARB) of 35%, the price is USD 25.50 (United States Dollars Twenty-five and fifty cents per metric ton).
4.2. GCV 5, 300 kCal/ kg : Basis 5, 300 kcal/ kg Gross Calorific Value on Air Dried Basis and Total Moisture (ARB) of 30%, the price is USD 26.50 (United States Dollars Twenty-six and fifty cents per metric ton).
4.3. GCV 5, 500 kCal/ kg : Basis 5, 500 kcal/ kg Gross Calorific Value on Air Dried Basis and Total Moisture (ARB) of 28%, the price is USD 29.50 (United States Dollars Twenty-nine and fifty cents per metric ton).
4.4. GCV 5, 800 kCal/ kg : Basis 5, 800 kcal/ kg Gross Calorific Value on Air Dried Basis and Total Moisture (ARB) of 24%, the price is USD 32.00 (United States Dollars Thirty-two per metric ton).
4.5. GCV 6, 100 kCal/ kg : Basis 6, 100 kcal/ kg Gross Calorific Value on Air Dried Basis and Total Moisture (ARB) of 18%, the price is USD 34.50 (United States Dollars Thirty-four and fifty cents per metric ton).
4.6. GCV 6, 300 kCal/ kg : Basis 6, 300 kcal/ kg Gross Calorific Value on Air Dried Basis and Total Moisture (ARB) of 14%, the price is USD 40.50 (United States Dollars Forty and fifty cents per metric ton).
4.7. GCV 6, 500 kCal/ kg : Basis 6, 500 kcal/ kg Gross Calorific Value on Air Dried Basis and Total Moisture (ARB) of 12%, the price is USD 45.00 (United States Dollars Forty-Five per metric ton).
5. Payment Terms
Payment to be effected against an Irrevocable & Transferable Letter of Credit at sight in favor of Seller or by Seller appointed entity, to be opened by an International Prime Bank acceptable by the Seller. The said Letter of Credit shall be opened in US Dollars for 100% invoice value drawn on issuing bank allowing for 10% tolerance. The Letter of Credit to be issued 3 (three) days after signing of this contract. This is to ensure good preparation of the whole cargo timely.
6. Standard Order Procedures
6.1. Buyer sends approved FCO and signed LOI on Company letterhead, including preliminary banking information and contact details, recently dated, no more than 7 days old. The price and information of coordinate bank of buyer should be also stated in the LOI.
6.2. Seller sends draft contract(s) if the seller accepts the price and conditions in the LOI.
6.3. Buyer reviews and approves the draft contract(s) and returns the draft contract(s) & draft copy of L/ C text for seller's review.
6.4. Seller and Buyer or buyer's mandate sign MoU and then Buyer or buyer representative visit the coal mine site.
6.5. Buyer and seller sign sale and purchase contract.
6.6. Seller reviews Pre-Advise L/ C text and notifies buyer.
6.7. Buyer opens Non-Operative L/ C in seller's favour.
6.8. Seller posts PB (2%) immediately after L/ C is opened, activating buyer's L/ C.
6.9. First shipment commences 45 (fourty five) days after opening of buyer's financial instrument. Any additional shipments to take place at regular intervals, as per contract schedule.
PLEASE NOTE:
1. Financial information must be consistent with issuer of the LOI information. Only Buyers and/ or their Authorized-with-Signature, Power-of-Attorney Mandates are authorized to issue LOI + BCL and sign all necessary documents including Contract + opening of L/ C in Seller's Favor.
2. The detail of payment terms can be seen in the attached draft contract.
